1. Service Description

Switle is an AI-powered debt recovery automation platform that sends WhatsApp payment reminders to debtors on behalf of registered merchants. Switle operates on a commission basis — we charge a percentage of successfully recovered amounts only.

2. Merchant Obligations

By using Switle, merchants confirm and warrant that:

• All debts entered on the platform are genuine, legitimate, and provable

• The merchant has documentation (invoice, delivery note, or agreement) supporting each debt

• All debtor contact information is accurate and belongs to the actual debtor

• The merchant has a genuine pre-existing commercial relationship with each debtor

• The merchant indemnifies Switle against all claims arising from false or fabricated debts

• Entering false debts to harass individuals constitutes fraud under Tanzania's Penal Code Cap 16

3. Commission Structure

Switle charges commission only on successfully recovered amounts:

B2C (Business to Individual):

Fresh debt (0-30 days): 6% · Aging (31-90): 10% · Old (91-180): 15% · Bad (180+): 22%

B2B (Business to Business):

Fresh debt (0-30 days): 8% · Aging (31-90): 13% · Old (91-180): 18% · Bad (180+): 28%

Commission rates are locked at the time of debt entry and do not change during a payment plan, regardless of how long recovery takes.

For installment payments, commission is deducted from each installment at the locked rate, totaling the correct percentage at full recovery.

If no amount is recovered, no commission is charged.

4. Payment Processing

All payments are processed through ClickPesa, a licensed Tanzanian payment gateway. When a debtor pays, ClickPesa automatically splits the payment: the merchant's share goes directly to the merchant's registered M-Pesa account, and Switle's commission goes to Switle's account. Switle never holds merchant funds.

5. Debt Recovery Conduct

Switle conducts debt recovery in compliance with:

• Bank of Tanzania Financial Consumer Protection Regulations

• Law of Contract Act Cap 345 (agent-principal relationship)

• Tanzania's common law tort principles

Switle sends only polite, professional reminders. We never threaten, harass, or make false legal statements to debtors. All messages are sent as the merchant's authorized agent.

6. Limitation of Liability

Switle is a technology platform. We are not responsible for: the accuracy of debt information entered by merchants; the behavior of debtors; unsuccessful recovery attempts; or disputes between merchants and their debtors. Our liability is limited to the commission amounts paid in the 30 days preceding any claim.

7. Termination

Merchants may close their account at any time. Active debt recovery conversations will be stopped upon account closure. Commission earned on recoveries completed before closure remains payable. Switle may suspend accounts that violate these terms without notice.

8. Governing Law

These terms are governed by the laws of the United Republic of Tanzania. Disputes shall be resolved in the courts of Dar es Salaam.
